POLICIES
& TERMS.
Development terms, management agreements, warranty, payments, privacy, healthcare and client responsibilities in one place.
CLEAR TERMS.
REAL PROTECTION.
Payments and late charges
Proposed deposit: 50% before development and 50% before launch; custom milestones may be 50%/25%/25%. Five-calendar-day grace period. Then simple interest of 1% monthly calculated daily, or the lower legal maximum. New work may be suspended after 15 days overdue following required notice.
Six- and twelve-month agreements
Clients select a 6- or 12-month management term. Fixed-term renewals require new written agreement under the proposed policy. Any automatic renewal requires separately compliant disclosures and notices. Early termination charge proposed as the lesser of 25% of remaining management fees or reasonably anticipated net loss, where legally enforceable, excluding agency uncured material breach.
Scope, changes and warranty
Signed Statement of Work controls deliverables; two prelaunch design revision rounds proposed. One complimentary modification request within 30 days after launch, limited to 60 minutes, once per project, never annually renewed. Additional changes: $175/hour with one-hour minimum and advance approval. A separate 30-day workmanship warranty covers verified defects against agreed specifications at no additional labor charge.
Launch, client delays and reactivation
Client provides content, licenses, credentials and approvals. Written approval before launch. Project may pause after 15 days without response following notice; $350 restart charge after 30 days only where reasonable and agreed. Timelines extend for client-caused delays.
Chargebacks, third parties and advertising
Billing disputes should be reported promptly; lawful dispute rights are preserved. Only actual documented, recoverable processor costs may be sought where lawful—not punitive fees. Third-party service availability, fees and API access are outside agency control; provider increases are disclosed and passed through only as contractually and legally permitted. Advertising spend is separate and approved in writing. No guaranteed ad results, rankings or revenue.
Ownership, confidentiality and portfolio
Clients retain their domains, business records and supplied materials. Rights to paid deliverables follow the signed agreement; pre-existing agency tools, reusable code and third-party licenses remain separately owned. Clients control primary accounts. The agency avoids unnecessary retention but necessary technical logs, backups and authorized service providers may process data. No unauthorized sale of customer information. Portfolio use requires separate optional client permission.
Privacy, security, healthcare and accessibility
Use reasonable safeguards, MFA and least-privilege access. Retention, incident response, backups, handover and subcontractor obligations are governed by written policies. PHI-related work is excluded absent separate safeguards and agreements. Accessibility assessments and remediation are separately scoped. Neither universal accessibility nor legal compliance is guaranteed by a standard website build.
Cancellation, dispute resolution and handover
Notice, refund schedules, termination obligations and any fee limits must be in the signed agreement. Client-owned data is not held as leverage for disputed invoices. Additional migration assistance may be billed after written approval. New York law and appropriate dispute procedures should be reviewed by counsel.
Contracts, payments and financing
DocuSign or Google e-signature, Stripe deposits and subscriptions, and third-party financing are planned integrations—not active on this preview. Any buy-now-pay-later option is subject to provider approval, B2B eligibility and transaction limits. No payment is collected on this site.
BOOK A CONSULTATION ↗CLIENT TERMS.
Transparent proposed terms, client rights and agency protections.
Proposed commercial terms — not a signed agreement or legal advice. New York counsel should review before you accept payments, sign clients or make automatic-renewal commitments. The executed agreement and Statement of Work govern.
Scope and project approval
Services are limited to the signed proposal and Statement of Work. Final pricing, functionality, deadlines and revisions require written approval. Two prelaunch design revision rounds are proposed; work outside scope requires a separately approved change order.
Development payment
Proposed payment: 50% before development and 50% before launch or handover; a 50%/25%/25% milestone alternative may be approved in writing. Deposits and refunds follow the signed cancellation schedule and applicable law. No payment is collected on this site.
Management terms
Clients may select six- or twelve-month management. Fixed-term renewals require a new written agreement under the proposed policy. Any future auto-renewal must follow applicable New York and other governing laws, including required disclosures and notices.
Early termination
Proposed termination charge, only where lawful and agreed: the lesser of 25% of unpaid management fees scheduled for the remaining initial term or a reasonable good-faith estimate of net loss, reduced by avoided costs. No such charge for agency uncured material breach.
Late payments
Five-calendar-day grace period; thereafter simple interest at 1% per month calculated daily or lower legal maximum. After 15 days overdue, new nonessential services may be suspended with appropriate notice, without improperly withholding client-owned data.
Complimentary change and additional work
One post-launch modification request per project within 30 days after launch, capped at 60 minutes of labor, once only and never renewed. Additional changes: $175/hour with a one-hour minimum, approved in advance. New pages, redesigns and integrations are separately quoted.
Bug-fix warranty and launch approval
Written launch approval is required. Verified defects caused by failure to meet agreed specifications are corrected without additional labor charges during a 30-day postlaunch workmanship warranty; warranty corrections do not consume the complimentary modification.
Client delays and restart
Clients provide accurate content, access and timely feedback. Project may pause after 15 days without response following notice; after 30 days, a $350 restart fee may apply only if reasonable, disclosed and agreed. Delivery dates may shift accordingly.
Chargebacks and billing disputes
Clients retain lawful payment-dispute rights. The agency may seek only actual, documented and legally recoverable processor-related costs, where permitted, not automatic punitive fees. Signed authorizations, invoices and approval records are retained as appropriate.
Third-party providers and cost increases
Cloudflare, Google, Jobber, Shopify, booking providers, ad platforms and other vendors may change fees, APIs or availability. Approved third-party costs are additional. Material cost increases are disclosed and require consent where applicable; no uninterrupted third-party service is guaranteed.
Advertising and SEO
Advertising spend is separate from management fees and paid through approved client accounts where possible. No guaranteed rankings, leads, ad approvals, conversions or revenue. Budget changes require written authorization.
Client ownership and intellectual property
Clients control their domains, supplied content, primary accounts and business data. Upon full payment, rights to agreed deliverables transfer or are licensed as described in the Statement of Work. Agency pre-existing code, reusable components, methods and third-party licensed assets remain separately owned. Additional IP assignment may start at $1,500+ by negotiated written agreement.
Data protection and confidentiality
The agency does not sell client data or intentionally retain independent customer databases unless authorized. Technical logs, backups and service providers may process information. Access, security, retention, subcontractor obligations and handover are governed by written policies.
Healthcare and accessibility
Standard healthcare services are public-facing informational websites without agency PHI handling. PHI-related services require separate risk review, appropriate BAAs and security safeguards. Accessibility assessments start at $1,500–$3,500+ and remediation is quoted separately. Neither universal accessibility nor regulatory compliance is guaranteed by an ordinary website build.
Portfolio permission
Client name, logo, screenshots or project descriptions may be used in marketing only with separate optional written permission. Confidential information and PHI are never included.
Rush, emergency and training rates
Rush work: $250/hour. Approved after-hours emergency support: $300/hour with two-hour minimum. Client training: $200/hour. Additional page: $500–$1,500+. Migration: $750–$2,500+. Rates subject to approved scope.
Referrals
One qualifying referral earns $250 cumulative service credit; two earn $500 total; three earn $800 total; five earn $1,150 total. New, eligible clients must sign and pay. Credits are noncash, nontransferable and not applicable to taxes, ad spend or third-party costs. Regulated referrals may be excluded.
Cancellation, transition and dispute resolution
Termination, refunds, ownership transfer, handover, venue and dispute procedures must be set in signed agreements and comply with law. Client-owned data will not be withheld merely as payment leverage. Additional migration work requires written approval.
Financing and electronic signatures
Google e-signatures and potential DocuSign agreements may be used when configured. Stripe and third-party financing are planned, not connected. Klarna, Affirm and Afterpay availability depends on provider rules, business-to-business eligibility and transaction limits.
